Acceptance of terms

These Terms of Service ("Terms") govern access to and use of the UNICORN platform, including our website, marketplace, dashboard, and related services (collectively, the "Network"). By creating an account or otherwise using the Network, you agree to be bound by these Terms.

Description of service

UNICORN operates a performance marketplace connecting advertisers, publishers, and call centers around pay-per-call and lead generation campaigns. We provide routing infrastructure, reporting, and payment processing to facilitate these transactions; we are not a party to the underlying products or services being advertised.

Advertiser obligations

Advertisers are responsible for the accuracy of campaign requirements, compliance of their offers with applicable law, and timely payment for qualifying calls or leads as defined in their campaign configuration.

• Provide accurate, lawful campaign requirements and payout terms
• Honor payout terms for calls or leads that meet stated conversion criteria
• Maintain compliance with industry regulations applicable to their vertical

Publisher & call center obligations

Publishers and call centers are responsible for the traffic and calls they generate, including obtaining any consent required before a call is placed or connected, and for accurately representing their traffic sources during onboarding.

• Obtain and document consent as required for each campaign
• Disclose traffic sources and methods accurately during onboarding and campaign approval
• Refrain from generating fraudulent, incentivized, or misrepresented traffic

Payments & payouts

Payout schedules and rates are defined per campaign and disclosed prior to activation. Payments to publishers and call centers are processed on the agreed cycle, less any calls disputed or disqualified under a campaign's stated conversion criteria.

Advertisers are billed for qualifying calls and leads according to their account's billing cycle. Failure to pay outstanding balances may result in suspension of active campaigns.

Prohibited conduct

Use of the Network to generate fraudulent calls, circumvent consent requirements, misrepresent traffic sources, or otherwise violate applicable law is strictly prohibited and may result in immediate account suspension and forfeiture of pending payouts.

Intellectual property

The Network, including its software, routing logic, and branding, is the property of UNICORN and its licensors. Nothing in these Terms grants you rights to our intellectual property beyond what's necessary to use the Network as intended.

Disclaimers & limitation of liability

The Network is provided "as is" without warranties of any kind. To the fullest extent permitted by law, UNICORN is not liable for indirect, incidental, or consequential damages arising from use of the Network, including lost revenue or business interruption.

Termination

Either party may terminate an account for any reason with notice as described in the applicable partner agreement. We may suspend or terminate access immediately for violations of these Terms, fraud, or non-compliance with applicable law.

Governing law

These Terms are governed by the laws of the jurisdiction in which UNICORN is registered to do business, without regard to conflict-of-law principles.

Changes to these terms

We may revise these Terms from time to time. Continued use of the Network after changes take effect constitutes acceptance of the revised Terms.
